Terms of Use

These terms govern your dealership’s use of MenuBridge, the dealer-authorized bridge that carries deal data your team has reviewed from your DMS into MenuMetric.

1. Accepting these terms

These Terms of Use (the “Terms”) are an agreement between MenuBridge (“MenuBridge,” “we,” “us”) and the dealership, dealer group, or other business that subscribes to or uses the MenuBridge service (“you” or “Customer”). MenuBridge is a product of Miller Mind Solutions.

By creating a MenuBridge account, installing or using the MenuBridge browser extension, or otherwise using the service, you accept these Terms. If you do not accept them, do not use MenuBridge.

If you accept these Terms on behalf of a dealership or other business, you represent that you are authorized to bind that business to these Terms. In that case “you” means that business, and every person you allow to use MenuBridge under your account is bound by these Terms.

2. Who may use MenuBridge

MenuBridge is business software for automotive dealerships and their staff. It is not a consumer product and is not offered for personal, family, or household purposes. You may use MenuBridge only for legitimate business purposes of the dealership rooftops configured in your account, and only where you have the rights and authorizations described in these Terms.

Users must be at least 18 years old and authorized by you to work with dealership deal data.

3. Accounts, users, and credentials

MenuBridge accounts are issued to a dealer organization. Individual users sign in with their own MenuBridge email and password, and each user’s access follows the role and rooftop assignment you configure.

  • Keep account information accurate, including rooftop details and administrator contacts.
  • Do not share sign-in credentials between people, and do not let anyone use another person’s account.
  • Remove or disable users promptly when they leave your organization or no longer need access.
  • You are responsible for activity that happens under your account and your users’ credentials.
  • Tell us promptly at support@menubridge.ai if you believe an account or credential has been compromised.

Your MenuMetric sign-in and any DMS sign-in remain your credentials with those providers. Enter them only where the relevant provider or the product flow asks you to, and treat them with the same care as your MenuBridge credentials.

4. What MenuBridge does

MenuBridge provides a one-way, dealer-authorized workflow from your browser-accessible DMS to MenuMetric. When an authorized user opens a deal and starts a capture, MenuBridge reads bounded, sanitized information visible in that active tab. MenuBridge AI proposes a structured payload for human review; there is no vendor-specific extraction fallback. After your user reviews and approves the deal, MenuBridge submits it to the MenuMetric account configured for that rooftop.

MenuBridge does not write back to your DMS, and it does not replace MenuMetric. Menu presentation, product rating, disclosures, forms, contracting, and the final deal record remain the responsibility of MenuMetric and of your dealership. MenuBridge does not provide menu content, rate products, generate compliance disclosures, or execute contracts.

Capture availability depends on the authorized user being able to open the DMS deal in a supported browser and on the AI mapping service being available. If AI mapping is unavailable or cannot ground required fields in the captured evidence, MenuBridge produces no sendable mapped output and asks the user to retry or review the missing evidence.

5. Your responsibility to review deal data

MenuBridge is an assistive tool. You remain responsible for the accuracy, completeness, and lawfulness of every deal your team works on.

Before relying on anything MenuBridge produces — including captured deal fields, normalized values, calculated or checked figures, mapped destinations, and any data submitted to MenuMetric — an authorized person at your dealership must review it and confirm it is correct for the transaction. This is a required part of the workflow, not an optional step.

You are solely responsible for menus, quotes, payments, disclosures, contracts, filings, and other business outputs your dealership presents to customers or third parties, whether or not MenuBridge data contributed to them.

6. Acceptable use

You agree not to, and not to allow anyone else to:

  • use MenuBridge for any unlawful purpose, or in violation of any law or regulation that applies to your dealership, including consumer-protection, lending, privacy, and data-security requirements;
  • access or attempt to access accounts, rooftops, dealerships, or data you are not authorized to use;
  • use MenuBridge to process deal data for a dealership that has not authorized you to do so;
  • interfere with, disrupt, overload, or attempt to circumvent the security, authentication, rate limits, or access controls of MenuBridge or any connected system;
  • scrape, crawl, or bulk-extract MenuBridge content or data by automated means, except through interfaces we provide for that purpose;
  • reverse engineer, decompile, or disassemble MenuBridge software, or attempt to derive its source code, except to the extent that restriction is unenforceable under applicable law;
  • copy, resell, sublicense, rent, or provide MenuBridge as a service to a third party outside your account;
  • modify, repackage, or distribute the MenuBridge browser extension, or install a modified version of it;
  • upload malware or use MenuBridge to transmit harmful code.

7. Your data

As between you and MenuBridge, you own the dealership, deal, vehicle, customer, and other data you or your users submit to or capture through MenuBridge (“Customer Data”). We do not claim ownership of Customer Data.

You grant us a limited, non-exclusive license to host, process, transmit, and display Customer Data solely to operate the service for you — including normalizing and validating deal data, routing it to the MenuMetric account you configured, providing support, and maintaining the security and integrity of the service.

You represent that you have the authority and any consents or permissions required to provide Customer Data to us and to have it routed to your configured destinations, and that doing so does not violate any law or any agreement between you and a third party, including your customers, lenders, or DMS provider.

We do not sell Customer Data.

8. Third-party systems and integrations

MenuBridge works alongside systems operated by other companies, including your DMS and MenuMetric. Those systems are not controlled by us. MenuBridge is an independent product and is not affiliated with, endorsed by, or sponsored by any DMS or menu provider unless we state otherwise in a signed agreement with you.

Your use of any third-party system remains governed by your agreement with that provider, and you are responsible for holding the licenses, subscriptions, and access rights those systems require. We are not responsible for third-party availability, outages, maintenance, pricing, product changes, interface changes, data accuracy, or decisions to restrict or terminate access. A change on either side of an integration may reduce or interrupt MenuBridge functionality, sometimes without advance notice.

Third-party names and marks are the property of their respective owners and are used only to describe interoperability.

9. Automated and AI-assisted output

MenuBridge uses automated processing, and in some areas AI-assisted models, to read deal pages, map fields, check arithmetic, and surface findings such as possible trade or fee discrepancies. This output is assistive and advisory. It can be incomplete, out of date, or wrong.

Nothing MenuBridge produces is legal, tax, accounting, lending, insurance, compliance, or other professional advice, and we do not represent that MenuBridge output makes a deal compliant with any law or program requirement. Automated findings do not replace the judgment of your F&I, sales, or compliance staff, and MenuBridge does not certify that a deal is accurate or complete.

Your dealership must review and approve automated output before acting on it, as described in section 5.

10. Subscriptions, fees, and cancellation

How subscriptions are priced

MenuBridge is sold as a subscription to a dealer organization and is priced per active rooftop, in U.S. dollars. You can choose a monthly or an annual billing cycle; the annual cycle is paid upfront. Your subscription quantity is the number of active rooftops in your account, so adding or removing rooftops changes what you pay. Current amounts, discounts, and your rooftop count are shown during account setup and in your account portal before you are charged.

Trial and setup fee

A new dealer organization may be offered a one-time free trial. The trial is available once per account and does not renew. A one-time account setup fee may apply. The setup fee is charged once for the account, is not multiplied by rooftop count, and is not discounted.

Renewal and cancellation

Subscriptions renew automatically at the end of each billing cycle until cancelled. You may cancel at any time from your account portal or by contacting us. Cancellation takes effect at the end of the paid period, and your access continues until that period ends.

Refunds and taxes

Fees are not prorated or refunded for partial periods, unused rooftops, or early cancellation. We do refund duplicate charges and billing errors. Fees are exclusive of taxes; you are responsible for any sales, use, or similar taxes that apply to your subscription, other than taxes on our income.

Payment and non-payment

Subscription payments are processed by our third-party payment processor, and your use of that processor is subject to its own terms. We do not store your full card details. If a payment fails or an account becomes past due, we may suspend access until the balance is resolved.

Changes to pricing

We may change pricing. Changes apply to your next billing cycle after we notify the administrator contacts on your account, and never retroactively to a period you have already paid for.

11. Intellectual property and feedback

MenuBridge, including the service, the browser extension, the website, and all related software, documentation, designs, and marks, is owned by Miller Mind Solutions and its licensors and is protected by intellectual property laws. Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use MenuBridge for your internal business purposes during your subscription. No other rights are granted, and we reserve all rights not expressly granted.

If you send us suggestions, feature requests, or other feedback, we may use it to improve MenuBridge without restriction, obligation, or compensation to you. Feedback should not contain your confidential information or customer data.

12. Privacy

Our handling of information in connection with the service is described in our Privacy Policy, which is part of these Terms. If you have questions about how deal data is processed, contact us before submitting data you are unsure about.

You are responsible for your own privacy obligations to your customers, including any notices, consents, and safeguards required by law for the information you capture and route through MenuBridge.

13. Confidentiality and security

Each party may receive confidential information from the other. Each party will use the other’s confidential information only as needed to perform under these Terms and will protect it with at least reasonable care. This does not apply to information that is public through no fault of the receiving party, was already known without a duty of confidence, is independently developed, or must be disclosed by law.

We use technical and organizational measures intended to protect the service and Customer Data, including encrypted transport, access controls scoped to a dealership and its rooftops, and separated environments and credentials. No service can be guaranteed to be completely secure, and we do not warrant that the service will be free of unauthorized access.

You are responsible for the security practices within your own organization, including credential handling, device security, and who you authorize to use MenuBridge.

14. Service changes, suspension, and termination

We may change, add, or remove features of MenuBridge. If we make a change that materially reduces core functionality you rely on, we will make reasonable efforts to notify the administrator contacts on your account.

We do not commit to a specific uptime level in these Terms. The service may be unavailable for maintenance, third-party outages, or events outside our reasonable control.

We may suspend or limit access, in whole or in part, if we reasonably believe it is necessary to protect the service, other customers, or third parties — for example, in response to a security risk, suspected unauthorized access, misuse, unlawful use, or non-payment. We will restore access when the cause is resolved, where we reasonably can.

You may stop using MenuBridge and cancel your subscription at any time. We may terminate these Terms for material breach that is not cured within a reasonable period after notice, or if your subscription ends. On termination, your right to use MenuBridge stops. Sections that by their nature should survive — including fees owed, data ownership, intellectual property, confidentiality, disclaimers, limitation of liability, and indemnification — survive termination.

15. Disclaimers

Except as expressly stated in these Terms, MenuBridge is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade.

We do not warrant that the service will be uninterrupted, timely, secure, or error-free; that captured, mapped, calculated, or AI-assisted output will be accurate or complete; or that MenuBridge will meet any regulatory, compliance, or program requirement that applies to your dealership.

16. Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business, lost goodwill, or loss or corruption of data, even if advised that such damages were possible.

To the fullest extent permitted by law, our total aggregate liability arising out of or relating to these Terms or the service will not exceed the amounts you paid us for the service in the twelve months immediately before the event giving rise to the claim.

These limits do not apply to your obligation to pay fees, to either party’s indemnification obligations, or to liability that cannot be limited under applicable law. You acknowledge that these limits are a fundamental part of the pricing and the agreement between us.

17. Indemnification

You will defend, indemnify, and hold harmless MenuBridge, Miller Mind Solutions, and their personnel from third-party claims, damages, losses, and reasonable costs (including attorneys’ fees) arising out of or relating to: your Customer Data or your lack of authority to provide it; your use of the service in breach of these Terms or of applicable law; menus, disclosures, contracts, or other business outputs your dealership presents or executes; or your failure to perform the review responsibilities in section 5.

We will defend, indemnify, and hold you harmless from third-party claims that the MenuBridge service, used as permitted by these Terms, infringes that third party’s intellectual property rights. This does not apply to claims arising from Customer Data, third-party systems, modifications you make, or use of the service in combination with anything we did not supply.

The party seeking indemnity must give prompt notice of the claim, allow the other party to control the defense, and provide reasonable cooperation. No settlement that imposes an obligation on the indemnified party may be made without its consent.

18. General terms

Changes to these Terms

We may update these Terms. When we do, we will change the “Last updated” date at the top of this page, and for material changes we will make reasonable efforts to notify the administrator contacts on your account. Continued use of MenuBridge after an update means you accept the updated Terms.

Notices

We may send notices to the administrator email addresses on your account or by posting in the service. You may send notices to us at support@menubridge.ai. Notices are effective when sent.

Assignment

You may not assign or transfer these Terms without our prior written consent, except to a successor in a merger or sale of substantially all of your assets that agrees to be bound by them. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets. These Terms bind and benefit permitted successors and assigns.

Independent parties

The parties are independent contractors. These Terms do not create a partnership, joint venture, agency, or employment relationship, and neither party may bind the other.

Severability and waiver

If any provision of these Terms is held unenforceable, it will be limited or removed to the minimum extent necessary and the rest of the Terms will remain in effect. A failure or delay in enforcing a provision is not a waiver of it, and a waiver in one instance is not a waiver in another.

No third-party beneficiaries

These Terms do not create rights for anyone other than you and us.

Entire agreement

These Terms, together with the Privacy Policy and any order, subscription record, or written agreement we sign with you, are the entire agreement between us about the service and supersede prior discussions and understandings on that subject. If a signed written agreement between us conflicts with these Terms, the signed agreement controls for that conflict.
